Terms of Service

1. Agreement to these Terms

Welcome to Belay. These Terms of Service (the "Terms") are a legal agreement between you and Wasatch Web Studio LLC, the operator of Belay ("Belay", "we", "us", or "our"). They govern your access to and use of our websites, apps, courses, and related services (together, the "Service").

By creating an account, clicking "I agree", or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service.

2. Who can use the Service

You must be at least 16 years old to create an account. If you are under the age of majority where you live, you may only use the Service with the involvement and consent of a parent or legal guardian.

You agree to provide accurate account information and to keep it current. You are responsible for everything that happens under your account, so keep your password secure and do not share your account. Tell us promptly if you suspect any unauthorized use.

3. Your account

• One account per person. You may not share, sell, or transfer your account.
• You are responsible for all activity under your account and for keeping your login credentials safe.
• We may suspend or close accounts that violate these Terms or that we reasonably believe are being misused.

4. Plans, billing, and renewals

Belay offers a free plan, recurring paid subscriptions (billed monthly or annually), and a one-time Lifetime purchase. Current prices are shown on our pricing page.

Automatic renewal

Paid subscriptions renew automatically at the end of each billing period at the then-current price, and your payment method is charged, until you cancel. You authorize us and our payment processor to charge your payment method for these recurring amounts. We provide renewal reminders and cancellation options as required by law.

Payments

Payments are handled by our third-party payment processor (for example, Stripe). We do not store your full card details. You also agree to the processor's terms, and you are responsible for any applicable taxes.

Price changes

We may change prices from time to time. Any change to a subscription applies to your next billing period after we give you reasonable advance notice, and you can cancel before it takes effect.

5. Cancellation and refunds

You can cancel a subscription at any time from your account settings or by contacting us. Cancellation stops future renewals. Your access continues until the end of the period you already paid for, and we do not provide partial-period refunds except where required by law.

7-day money-back guarantee

For your first purchase of a paid plan or Lifetime access, if you are not satisfied, contact us within 7 days of that purchase and we will refund it in full. This guarantee applies once per customer, to your first paid purchase only.

If you have a statutory right of withdrawal (for example, as a consumer in the EU or UK), that right also applies, subject to the rules that apply once you begin using digital content.

6. Your license to use the Service

Subject to these Terms and your plan, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content for your own learning. Lifetime access means access for as long as we continue to operate the Service. It is not a transfer of ownership.

7. Acceptable use

You agree not to:

• share, resell, sublicense, or publicly redistribute our course content;
• scrape, copy, or bulk-download the Service or its content;
• share your account or login credentials with others;
• reverse engineer, disrupt, or attempt to defeat the security of the Service;
• upload or share unlawful, harmful, infringing, or abusive content;
• use the Service or our content to build or train a competing product or a machine-learning model; or
• use the Service for any illegal purpose or in violation of these Terms.

8. Content you create

You keep ownership of the code, notes, answers, and other content you create using the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely to operate, secure, and improve the Service for you.

You are responsible for Your Content and confirm that you have the rights to it.

9. Our intellectual property

The Service, including our courses, curriculum, lessons, text, graphics, software, and the Belay name and logo, is owned by us or our licensors and is protected by intellectual property laws. Except for the license in Section 6, we grant you no rights in it.

10. AI tutor and AI-generated content

The Service includes an AI tutor and other AI-assisted features powered by third-party AI providers. When you use these features, the text you send (such as your questions and the relevant lesson context) is transmitted to that provider so it can generate a response.

AI output can be inaccurate, incomplete, or out of date. It is provided for educational purposes only and is not professional, legal, financial, medical, or career advice. Always verify important information, and please do not enter sensitive personal data into the AI tutor.

11. No guarantee of outcomes

Belay is an educational service. We do not offer job placement, and we do not guarantee any particular result, including employment, a promotion, income, certification, or exam success. Your results depend on your own effort and on many factors outside our control.

We are not an accredited educational institution. Our lessons and any certificate of completion are not academic credit and are not a formal or accredited credential.

12. Third-party services

The Service works with third parties (for example, Google for sign-in, a payment processor, and AI providers). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

13. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that its content is accurate or complete. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

14. Limitation of liability

To the maximum extent permitted by law, Belay and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or 50 US dollars. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnification

You agree to indemnify and hold Belay harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, from Your Content, or from your violation of these Terms or applicable law.

16. Termination

You can stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will survive.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice) before they take effect. Your continued use of the Service after the changes become effective means you accept the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-laws rules. Before filing a formal claim, you agree to first contact us and try to resolve the matter informally. Disputes will be handled in the courts of the State of Utah, unless applicable consumer law gives you the right to bring proceedings where you live.

19. Other terms

• If any part of these Terms is found unenforceable, the rest stays in effect.
• These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service.
• Our failure to enforce a right is not a waiver of it.
• You may not assign these Terms. We may assign them, for example as part of a merger or acquisition.
• Nothing here creates an employment, agency, or partnership relationship between you and us.
